Chapter 1 – General Provisions

  1. These Terms of Service (hereinafter: "Terms") set forth the rules for the provision of electronic services through the website available at www.vantanight.com (hereinafter: "Service"), owned and administered by the entity indicated in Chapter 9 of these Terms.
  2. The Service is a landing page for the registration of persons interested in participating in closed beta tests of the Vanta Night platform – an innovative ecosystem connecting entertainment industry artists with verified clubs and event venues worldwide.
  3. The Terms constitute a civil law agreement between the Service Operator and the User. Use of the Service means acceptance of the provisions of these Terms in their entirety.
  4. Whenever these Terms refer to:
    • Operator – means the entity indicated in Chapter 9 of the Terms, being the administrator of the Service and the controller of Users' personal data;
    • User – means any natural person with full legal capacity who uses the Service and/or has registered in the Service;
    • Service – means the Vanta Night website available at www.vantanight.com and all its functionalities;
    • Beta tests – means the testing phase of the Vanta Night platform, in which a limited group of Users has the opportunity to test the platform's functionalities before its official launch;
    • GDPR – means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.

Chapter 2 – Conditions of Use of the Service

§ 1. Access to the Service

  1. The Service is available to all Users free of charge, provided they have Internet access and a device enabling WWW browsing.
  2. The User uses the Service at their own risk and responsibility. The Operator is not liable for damages resulting from the use or inability to use the Service.
  3. The Operator reserves the right to temporarily suspend or limit the operation of the Service due to maintenance, updates or modifications, informing Users in a manner customary in electronic commerce.

§ 2. Registration in the Service

  1. Registration in the Service takes place by completing the registration form available on the Service's homepage. The registration process includes providing by the User:
    • email address (mandatory data) – necessary for User identification and communication;
    • name and surname or stage name (optional data) – facilitating communication personalization;
    • country of residence (optional data) – enabling offer matching to location.
  2. The User declares that the data provided is true, accurate and current. The Operator reserves the right to verify the data provided by the User.
  3. Completion of the registration process is the User's consent to the provisions of the Terms and Privacy Policy by checking the appropriate checkbox and clicking the registration button.
  4. Registration in the Service does not guarantee admission to participate in beta tests. The Operator will select participants according to its own criteria, taking into account the User's profile and availability of places in the beta testing program.

Chapter 3 – Electronic Services

§ 3. Scope of Services

  1. The Operator provides the following electronic services through the Service:
    • enabling registration on the Vanta Night platform beta testing list;
    • sending information about platform development progress and beta testing launch dates;
    • sending informational and educational materials regarding the functioning of the Vanta Night platform;
    • sending commercial offers and marketing materials – only with separate, voluntary User consent.

§ 4. Newsletter

  1. The User may voluntarily consent to receive the Operator's newsletter, containing information about news, updates, promotions and other content related to the Operator's activities and the Vanta Night platform.
  2. Newsletter consent is voluntary and may be withdrawn at any time, which does not affect the lawfulness of processing carried out before its withdrawal.
  3. Each newsletter message contains a link enabling subscription cancellation. The Operator processes cancellation requests immediately, no later than within 7 days of receiving the request.

Chapter 4 – Personal Data Protection

§ 5. Data Controller

  1. The controller of Users' personal data is the entity indicated in Chapter 9 of these Terms. The Controller's contact details are provided therein.
  2. The Controller processes personal data in accordance with the GDPR and the Act of 10 May 2018 on personal data protection.

§ 6. Purposes and Legal Bases of Processing

  1. The Controller processes Users' personal data for the following purposes:

§ 7. User Rights

  1. Under the GDPR, the User has the following rights regarding the processing of their personal data:
    • Right of access – the User has the right to obtain confirmation of whether the Controller processes their data and access to that data;
    • Right to rectification – the User has the right to request immediate rectification of inaccurate data or completion of incomplete data;
    • Right to erasure – the User has the right to request deletion of their data in the cases specified in Art. 17 GDPR;
    • Right to restriction of processing – the User has the right to request restriction of data processing in the cases specified in Art. 18 GDPR;
    • Right to data portability – the User has the right to receive their data in a structured format and transmit it to another controller;
    • Right to object – the User has the right to object to data processing in the cases specified in Art. 21 GDPR;
    • Right to lodge a complaint – the User has the right to lodge a complaint with the President of the Personal Data Protection Office, ul. Stawki 2, 00-193 Warsaw.
  2. Consent to data processing may be withdrawn at any time by sending an email to the address indicated in Chapter 9 or by clicking the "unsubscribe" link contained in every email from the Operator.

Chapter 5 – Cookies

§ 8. Cookie Information

  1. The Service uses cookies to ensure proper operation of the service, traffic analysis and content personalization. Cookies are small text files saved on the User's device.
  2. The following types of cookies are used in the Service:
    • Essential – required for basic Service functions, such as authentication and session security. Do not require User consent;
    • Analytics – used to collect anonymous statistical data about Service usage. Require User consent;
    • Functional – remembering User preferences and choices, such as language settings. Require User consent;
    • Marketing – used to display personalized advertisements. Require User consent.
  3. The User can manage cookie settings in their web browser. However, disabling some cookies may affect Service functionality.

§ 9. Analytics Tools

  1. The Operator uses Google Analytics (Google Ireland Limited, Gordon House, Barrow Street, Dublin 4, Ireland) for website traffic and User behavior analysis.
  2. Google Analytics processes data in an anonymized manner (IP address is truncated). The Controller has configured the tool in accordance with GDPR requirements, including IP anonymization and data retention period limitation.

Chapter 6 – Rights and Obligations of the Parties

§ 10. Operator Obligations

  1. The Operator undertakes to:
    • provide services in accordance with applicable law and these Terms;
    • ensure the security of Users' personal data in accordance with Art. 32 GDPR;
    • respond to User inquiries within a reasonable time;
    • inform Users of significant changes in Service operation or the Terms.

§ 11. User Obligations

  1. The User undertakes to:
    • use the Service in accordance with the law, Terms and common decency;
    • provide true and current data during registration;
    • not take actions that may disrupt Service operation or expose the Operator to harm;
    • not attempt to gain unauthorized access to other Users' data or Operator systems;
    • not use the Service for purposes inconsistent with its intended use.

Chapter 7 – Intellectual Property Rights

  1. All content posted in the Service, including in particular: texts, graphics, logos, photos, animations, video clips, sounds, software, interface, databases and their selection and arrangement, are protected by copyright and constitute the exclusive property of the Operator or third parties who have granted licenses to the Operator.
  2. It is prohibited to copy, modify, distribute, publicly display, publicly perform, reproduce, publish, license, transfer, sell or otherwise use content posted in the Service without prior written consent of the Operator.
  3. The trademark "Vanta Night" and related graphic designations are registered or applied for registration trademarks and constitute the Operator's property. Use of these marks without the Operator's consent is prohibited.
  4. The User retains full copyright to content that they voluntarily send to the Operator via the contact form or otherwise. Sending content means granting the Operator a free, non-exclusive license to use it for purposes related to the Service and Vanta Night platform functioning.

Chapter 8 – Changes to Terms and Contract Termination

§ 12. Changes to Terms

  1. The Operator reserves the right to make changes to these Terms. Changes become effective after they are published in the Service at www.vantanight.com/terms.
  2. The Operator informs Users about changes to the Terms electronically, by sending a notification to the email address provided during registration, at least 14 days before the changes become effective.
  3. If the User does not accept the changes to the Terms, they have the right to terminate the contract effective on the date the amended Terms become effective by sending an appropriate statement to the Operator's email address.
  4. Continued use of the Service after the amended Terms become effective means acceptance of the new provisions.

§ 13. Contract Termination

  1. The User may terminate the electronic service agreement at any time by:
    • sending an email to the address indicated in Chapter 9 requesting account and data deletion;
    • clicking the "unsubscribe" link in an email received from the Operator.
  2. The Operator may terminate the agreement for important reasons, in particular in case of User's breach of the Terms or legal provisions, with 7 days' notice.

§ 15. Final Provisions

  1. Matters not regulated by these Terms are governed by Polish law, in particular:
    • Act of 18 July 2002 on the provision of electronic services;
    • Act of 16 July 2004 – Telecommunications Law;
    • Regulation (EU) 2016/679 (GDPR);
    • Act of 23 April 1964 – Civil Code.
  2. Any disputes shall be resolved by courts having jurisdiction over the Operator's seat.
  3. If any provision of the Terms is deemed invalid or unenforceable, that provision remains in force to the extent that it is valid and enforceable, and the remaining provisions of the Terms remain fully binding.
  4. The Terms become effective on the date of their publication in the Service.
